Marathon Off-Road ATV/Motorcycle Club By-Laws

Introduction: These By-Laws and attachments exist for the creation and continuation of an ATV/Motorcycle off-road club of riders and enthusiasts in Central Wisconsin. The By-Laws stated here have been agreed to by Charter Members of the Marathon Off-Road ATV/Motorcycle Club in October of 2001, and may be changed by a 2/3 majority vote thereafter by 80% of the members in good standing.

I. Article 1: Purpose and Mission

A. To explore, expand and participate in off-road riding opportunities.

B. To maintain existing riding and trail systems in the area.

C. To provide an educational resource for the sport of off-road ATV/Motorcycle riding.

D. To provide a volunteer resource for the community at-large.

II. Article 2: Membership

A. Club membership is open to riders and enthusiasts of ATVs and off-road motorcycles. Membership in this organization shall be determined on a nondiscriminatory basis, without regard for age, sex, race, religion or national origin. Membership is by household with up to two adults and all household members under 18 counting as one member for dues, with each paid membership allowed one vote. It is permitted for any person in a household to pay dues as an individual member, thus having an individual vote.

B. All members shall have an equal stake in the club and it’s activities.

C. Membership shall be ongoing, but subject to termination with good cause as determined by the Board of Directors.

D. All members are required to pay dues of $15.00 per year for each person or household, renewable on the anniversary date of joining the club.

III. Article 3: Structure

A. From the membership at-large there will be as elected: President; Vice President; Secretary/Treasurer; three Board Members.

B. The President shall have primary responsibility for the legal and financial affairs of this organization. The President will preside at all meetings and appoint “ad-hoc’ committees as deemed necessary. The president shall have the power to take actions and make determinations in the “best interests” of the club when needed, but will be required to obey the will of the Board of Directors.

C. The Vice-President shall perform all the duties of the President in the absence of the President, and to assist as needed to the President. In the event of the President leaving office the Vice-President shall become President for the remainder of that term.

D. The Secretary/Treasurer shall keep all records of meetings, legal matters and financial information as generated by the club. All dues or other intake of funds shall be accounted for and disbursements made as directed by the Board of Directors. All records shall be available for inspection by any club member with reasonable notice.

E. Three additional elected positions from the club at-large shall advise and direct the club as required. These three Board Members, along with the President and Vice-President, shall form the Board of Directors. This Board of Directors shall take action and make determinations as needed in the “best interests” of the club, but are required to obey the will of a 2/3 vote in a general meeting when quorum is present.

F. President, Vice-President and Secretary/Treasurer will serve for two years per term, alternating each year for election between the President and Vice-President/Secretary-Treasurer. The three Board Members shall each serve three year terms, with only one member up for election each year. There are no term limits.

IV. Article 4: Meetings

A. General meetings of the club shall be at intervals not to exceed five weeks, with any meeting date not agreed to at the previous meeting requiring a one week “good faith” notification. A central phone number or contact person shall be designated for all meeting information, and/or such information shall be posted on the Internet.

B. Board of Directors meetings shall be at any time as needed. No action by the Board shall be binding to the club unless a minimum of two additional club members are present at said meeting, with those members allowed to question, but not interfere with the actions of the board.

C. Any other meetings or activities of any kind by club members or committees shall have at least one board member present, and will be held as needed.

D. Aside from overturning an action by the Board of Directors, a simple majority of members present at meeting with quorum shall decide matters of the club.
